2. Scope of the terms and status of the buyer
These terms apply to orders for goods and related contractual relationships with Exklusiv Dent s.r.o. The buyer may be a natural or legal person. A consumer is only a natural person who, in the specific relationship, acts outside the scope of their business activity or independent practice of a profession. A purchase by a dental practice, laboratory or healthcare professional for professional activity is typically B2B.
3. Order and formation of the contract
By submitting an order, the buyer proposes to enter into a purchase contract and confirms that they have read these terms. The purchase contract is formed when the seller confirms the order. If availability, compatibility, price or another material detail needs to be verified before confirmation, the seller may contact the buyer.
The seller may reject an order or part of it, particularly where the goods cannot be supplied, have been incorrectly identified, there is an obvious pricing error, or additional information is required for safe selection. If an unavailable item has already been paid for, the relevant amount will be refunded in the agreed manner.
4. Product information, compatibility and professional use
IPD manufactures prosthetic components with compatible connections for various implant systems. Third-party names and trademarks are used to identify compatibility and remain the property of their respective owners; their use does not imply a commercial relationship between those owners and IPD or Exklusiv Dent.
The technical portal helps users navigate platforms, workflows and CAD/CAM libraries. Before a medical device is used, the manufacturer's current IFU, the labelling of the specific reference and professional clinical judgement take precedence. If information differs, do not use the website text as a substitute for the manufacturer's current instructions.
5. Prices, VAT and invoicing
The price of a specific order is determined by the confirmed order and the subsequent tax document. Depending on context, the website may display prices excluding or including VAT. For cross-border B2B supplies to Slovakia, the tax treatment is assessed according to the customer's details and applicable VAT rules; after verification of the VAT ID, supply without Czech VAT may apply.
6. Payment terms
Bank transfer is the standard B2B payment method. Cash on delivery, payment card or another method is used only where it is actually offered for the specific order or agreed individually. Where prepayment applies, dispatch may be conditional on identification of the credited payment.
7. Availability, delivery and receipt
“In stock” is operational information and may change as a result of concurrent orders. For in-stock orders received on a working day by 13:00, Exklusiv Dent aims to dispatch on the same day provided the order is complete and the payment conditions are met. For out-of-stock items or items requiring individual verification, timing depends on manufacturer availability.
Details of shipping, shipment charges and bank details are provided on the page Shipping and payments. Failure to collect a shipment does not release the buyer from responsibility for costs that may arise under the contract and applicable law.
8. Withdrawal from the contract
Consumer generally has the right, in the case of a distance contract, to withdraw without giving a reason within 14 days of receiving the goods, unless a statutory exception applies. This right and its conditions are governed in particular by the Czech Civil Code.
A buyer acting in the course of business or independent professional activity does not have a statutory consumer 14-day right of withdrawal merely because the order was concluded online. Return of non-defective goods in a B2B relationship is possible only by prior individual agreement unless otherwise stated.
9. Defects, complaints and technical assessment
Rights arising from defective performance are governed by applicable law and the status of the buyer. For prosthetic components, a traceable assessment requires preservation of the REF, LOT/UDI, packaging and order documentation, together with a description of the platform, library and clinical or laboratory situation involved.

10. Personal data and cookies
Personal data is processed primarily to fulfil orders and contracts, meet accounting and tax obligations and provide technical support. Analytics and marketing cookie settings are separate from essential cookies and can be changed at any time via the “Cookie settings” link in the footer. 11. Alternative dispute resolution for consumer disputes
If a consumer dispute arises and cannot be resolved by agreement, the consumer may contact the Czech Trade Inspection Authority, which is the entity responsible for alternative dispute resolution (ADR) for ordinary purchase contracts: coi.gov.cz/informace-o-adr/ ↗.
The former European ODR platform is no longer in operation, so these terms do not refer to it.
12. Responsibility for professional content and external sources
The professional content of the portal is informational and educational. It does not replace the current IFU, the judgement of a healthcare professional or verification of compatibility for a specific reference. External links may lead to manufacturer websites, scientific publications or other sources whose content is managed by the respective operator.
13. Final provisions
Contractual relationships are governed by the law of the Czech Republic, subject to mandatory rules applicable to the specific relationship. Exklusiv Dent may update these terms for future orders; the version presented to the buyer when the specific order was placed is decisive for that contract.
